The Real Cost of "Cheap" Incorporation

The advertised cost vs the actual cost

Every incorporation jurisdiction advertises a headline setup fee. UAE free zones advertise from AED 5,750. Estonia says €190. Wyoming LLC costs $100. UK Ltd costs £12.

None of these figures represent what you will actually spend to have a functioning, banking-capable, compliant company.

This chapter gives you the real first-year cost for each major jurisdiction — based on what you actually need to operate, not the minimum government fee.

What "a functioning company" actually requires

A company that can:

  1. 1Be legally registered and in good standing
  2. 2Open and maintain a bank account
  3. 3Invoice clients and receive payments
  4. 4Remain compliant with filing obligations
  5. 5Support one person working through it (visa/residency not included below)

Real costs by jurisdiction (Year 1)

All figures are estimates based on typical costs in early 2026. They include: government fees, registered address or office, banking setup, and minimum accountant/compliance costs. They exclude: visa/immigration fees, physical office above the minimum, and optional services.

Cayman is not cheap. The cost is justified by what it delivers for fund structures.

The hidden costs nobody mentions

Cost of getting it wrong

  • Missed US Form 5472: $25,000 IRS penalty per form per year. This is automatic.
  • Late UK annual accounts: £150 (under 1 month), £375 (1–3 months), £750 (3–6 months), £1,500 (over 6 months).
  • UAE free zone licence lapse: Visa cancellation + liquidation costs + re-application fees. Can cost AED 10,000–20,000 to fix.
  • Singapore annual return late: SGD 300 penalty, escalating to SGD 600 after 3 months.
  • Germany commercial register late filing: Fines up to €25,000 per violation.

Banking failure cost

If you choose a jurisdiction where you cannot open a bank account:

  • You cannot receive client payments professionally
  • You may need to set up a second entity in a banking-friendly jurisdiction (doubling your compliance costs)
  • You may lose clients who require bank transfer as payment method

For a business generating USD 100,000/year in revenue, a six-month banking failure costs you six months of revenue delay plus the overhead of workarounds.

Substance cost if you don't relocate

If you want the low tax rate but aren't actually relocating, you may need to create substance artificially:

  • Nominee directors (Singapore): SGD 1,200–3,600/year — add this to your Singapore cost
  • Part-time local manager (UAE): AED 60,000–120,000/year
  • Local office (Ireland for 12.5%): €12,000–36,000/year for real office space

These costs often eliminate the perceived tax saving for small businesses.

Restructuring cost if you choose wrong

Moving from one structure to another mid-stream is expensive:

  • Converting a US LLC to a C Corp for VC: $10,000–50,000+ in legal fees
  • Migrating from a UAE free zone to mainland: AED 15,000–40,000
  • Re-domiciling a company from BVI to Cayman: $5,000–15,000 in legal and government fees

Getting it right the first time is materially cheaper.
