You should form a German GmbH if: 1. You are selling to German enterprise clients who require a German legal entity in their supplier onboarding process 2. You are hiring German employees (easier under German employment law with a local entity) 3. You are receiving German government grants or R&D funding (often requires German entity) 4. You are building for the German market specifically and "Made in Germany" credibility matters

For anything else โ€” including selling to German clients from a UK Ltd โ€” a German GmbH is unnecessary. German companies routinely contract with UK, Dutch, Irish, and other foreign companies.

German trade tax โ€” often overlooked

Germany's Gewerbesteuer (trade tax) is a municipal-level business tax that applies in addition to the federal CT. It ranges from approximately 7% (in some small municipalities) to 17% (Munich, Hamburg). This is why the effective German CT rate is ~30% rather than the 15% headline federal rate.

The trade tax is partially deductible against personal income tax for sole traders, but for GmbHs it is simply an additional cost.
